1. Risk Factors
Investing in or transacting with $RMC involves significant risks. These include, but are not limited to:
Blockchain & Technical Risks
Dependence on the Solana network, which Real Motion cannot control.
Network congestion, downtime, or technical failures may impact transfers or access.
Smart contract risks related to Pump.fun’s code, which Real Motion cannot modify or audit independently.
Market & Liquidity Risks
High volatility typical of digital assets.
No guarantee of active secondary-market liquidity.
Bonding-curve pricing and automated market making may result in rapid price fluctuations.
Regulatory Risks
$RMC is treated as a tokenized security, and future regulatory changes may affect transferability or use.
Additional compliance requirements may apply as laws evolve.
Holders may face restrictions depending on jurisdiction.
Business Risks
Real Motion is an early-stage entertainment company with developing Web3 products.
Planned features for token integration may be delayed or changed.
Business growth is not guaranteed.
Cybersecurity Risks
Wallet security, private key management, and transaction safety are the responsibility of the token holder.
Real Motion cannot recover lost or stolen tokens.
2. Description of Securities
$RMC is a tokenized security with the following characteristics:
Rights & Limitations
$RMC does not grant equity, dividend rights, ownership, or corporate governance voting.
Holders may be eligible for access-based or participation-based utilities within the Real Motion ecosystem as it develops.
Real Motion may implement token-gated membership options, but these are not guaranteed and remain subject to change.
Transferability
Transfers require a compatible Solana wallet and payment of Solana network fees.
Real Motion does not impose transfer restrictions, though Pump.fun mechanics and external regulations may.
Custody
Tokens exist solely on the Solana blockchain.
Holders are responsible for managing their own private keys.
Supply & Smart Contract
Smart contract and supply mechanics are fully controlled by Pump.fun.
Real Motion cannot modify or update the contract or supply.
The bonding curve and automated liquidity model are defined by Pump.fun’s platform.
3. Governance & Network Oversight
Technology Governance
The underlying Solana network is governed by Solana Labs and its validator community.
Pump.fun governs the initial token contract, bonding-curve system, and liquidity deployment.
Real Motion Governance
Real Motion governs only:
Event operations
Entertainment product development
Business strategy
Future utilities connected to the Real Motion ecosystem
Real Motion has no authority to alter the $RMC smart contract or its supply, nor can it modify Pump.fun’s platform mechanics.
Future Ecosystem Upgrades
Real Motion will publicly disclose any planned product upgrades or new utilities connected to $RMC. All updates involving Web3 features will follow security review procedures and external audits when applicable.
Current Stage of Development
Real Motion currently operates live basketball events, developmental youth leagues, and entertainment projects. Our Web3 integration is in early development.
$RMC is being introduced as part of that development, but the full Real Motion digital ecosystem—including token access features, digital membership, verifiable assets (NFTs), and interactive online tools—is not yet complete.
Launch Through Pump.fun
The launch of Real Motion Coin ($RMC) is conducted through Pump.fun’s fair-launch platform, which:
Controls the smart contract
Defines total token supply at launch
Implements the automated bonding-curve pricing model
Handles liquidity deployment on Solana's DEX infrastructure
Real Motion does not control:
The token contract code
Minting or supply parameters
The initial distribution mechanics
Any contract-modification rights
Real Motion is simply the issuer/promoter of the business associated with the token—not the controller, owner, or deployer of the smart contract.
Purpose of $RMC
$RMC is a tokenized security that is intended to serve as part of Real Motion’s developing digital ecosystem. Planned utilities may include:
Access to certain Real Motion digital features
Entry to future token-gated experiences
Verification for membership tiers
Participation in certain community discussions (non-binding)
$RMC does not represent equity, ownership, dividends, or voting control in Real Motion.
Revenue Model
Real Motion generates revenue through:
Live event ticket sales
Tournament registrations
Sponsorships & media partnerships
Merchandise
Licensing and entertainment content
Future digital product offerings
Digital/Web3 products (token-gated access, NFTs, gaming integrations) are in active development and not yet launched.
Technology
$RMC operates on the Solana blockchain, using Solana’s PoH/PoS consensus.
All transactions require SOL network fees. Wallet security and key custody are controlled solely by the holder.
Security, Audits, and Updates
Because Pump.fun controls the contract, Real Motion cannot modify, upgrade, or alter smart contract functionality.
Future digital ecosystem components created directly by Real Motion may undergo independent security audits.
Supply
Token supply is determined entirely by Pump.fun’s launch mechanics.
Real Motion does not have the ability to mint additional tokens or adjust total supply.
